Terms of Service — KnowDesk Platform Usage Terms

Plain English summary: Use KnowDesk legally and fairly. Pay on time. Don't abuse the platform. Your data belongs to you. We can terminate accounts that violate these terms. These terms are governed by Portuguese law.

1. Acceptance of Terms

By accessing or using the KnowDesk platform at knowdesk.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

These Terms form a legally binding contract between you (or your organisation) and KnowDesk, Lda, registered in Portugal at Rua Dom João V 37, Damaia, 2720-167, Amadora, Lisbon, Portugal.

2. Description of Service

KnowDesk is a software-as-a-service (SaaS) platform that enables businesses to create, configure, and deploy AI-powered support widgets connected to their knowledge bases. The Service includes a web dashboard, a Cloudflare Worker proxy, and an embeddable JavaScript widget.

3. Account Registration

  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to create an account.
  • One person or legal entity may not maintain more than one free account.
  • You must notify us immediately of any unauthorised use of your account.

4. Subscriptions and Payment

4.1 Plans

KnowDesk is offered on paid subscription plans (Starter, Growth, Enterprise) billed monthly or annually. Pricing is as shown on the pricing page at the time of purchase.

4.2 Billing

Subscriptions are billed in advance. Payment is processed by Stripe. By subscribing, you authorise KnowDesk to charge your payment method on a recurring basis. All prices are in USD and exclusive of applicable taxes.

4.3 Free trial

Where a free trial is offered, it begins on the date you provide payment details. You will be charged at the end of the trial period unless you cancel before it ends.

4.4 Refunds

Payments are non-refundable except where required by law. For Enterprise accounts, refund requests within 30 days of the first payment may be considered at our discretion. Contact billing@knowdesk.io.

4.5 Cancellation

You may cancel your subscription at any time via the Billing portal. Cancellation takes effect at the end of the current billing period. You retain full access until then.

4.6 Late payment

If payment fails, we will retry for 7 days. If payment is not received, your account will be suspended. Widgets will stop responding but your data will be retained for 30 days before deletion.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe intellectual property rights of any third party
  • Distribute malware, spam, or harmful content
  • Attempt to reverse-engineer, decompile, or extract our source code
  • Exceed your plan's usage limits through artificial means
  • Resell or sublicence the Service without written permission
  • Use the Service to train competing AI models
  • Upload content that is illegal, defamatory, or violates third-party rights

6. Your Data and Content

You retain full ownership of all content you upload to KnowDesk — including knowledge base documents, conversation data, and company information. By uploading content, you grant KnowDesk a limited, non-exclusive licence to process and store that content solely for the purpose of providing the Service to you.

We will never use your knowledge base content to train AI models, share it with third parties (except sub-processors listed in our Privacy Policy), or access it for any purpose other than operating your widget.

7. Intellectual Property

KnowDesk and its licensors retain all intellectual property rights in the Service, including the platform, dashboard, widget code, and all underlying technology. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

8. Availability and Uptime

We target 99.9% uptime for the KnowDesk platform. Scheduled maintenance will be announced with at least 24 hours' notice. We are not liable for downtime caused by factors outside our control, including failures of third-party services (Supabase, Cloudflare, Anthropic).

9. Limitation of Liability

To the maximum extent permitted by applicable law, KnowDesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to KnowDesk in the 3 months preceding the claim.

10. Warranties

The Service is provided "as is" and "as available" without warranty of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that AI responses will be accurate or complete. AI responses should be reviewed by qualified personnel before acting on them.

11. Indemnification

You agree to indemnify and hold harmless KnowDesk, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or use the Service in a way that damages KnowDesk or other users.

Upon termination, your access to the Service will cease. We will retain your data for 30 days following termination, during which you may export it. After 30 days, all data will be permanently deleted.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, except where mandatory consumer protection laws in your country provide otherwise.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Your continued use of the Service after changes constitute acceptance of the new Terms.
